Terms of Service
These Terms of Service (“Terms”) govern your engagement with Atlee Technologies LLP (“Atlee”, “we”, “us”) for design, software development, and the operation/maintenance of software (collectively, the “Services”). By engaging us, signing a Statement of Work (“SOW”), or using our portal, you agree to these Terms together with the applicable SOW.
1. Engagements & scope
The specific deliverables, timelines and fees for each engagement are defined in a written SOW or proposal. The SOW, once accepted, forms part of these Terms. Any change to agreed scope will be handled through a written change request, which may affect fees and timelines.
2. Fees, payment & recurring billing
- One-time work (Build) is billed against milestones defined in the SOW.
- Recurring services (Atlee Care & Run) are subscription services billed on a recurring basis (monthly or annually, as selected). By subscribing, you expressly authorise recurring charges for the applicable period.
- We will notify you before each renewal charge where required, and your subscription auto-renews until cancelled per our Refund & Cancellation Policy.
- All fees are exclusive of taxes; 18% GST applies to services supplied in India. International invoices are issued per applicable export rules.
- Late payments may result in suspension of Services after notice.
3. Intellectual property
Upon full payment of the relevant fees, Atlee assigns to you the intellectual property rights in the bespoke deliverables created for you under the SOW, except for: (a) third-party and open-source components, which remain under their own licences; and (b) Atlee's pre-existing tools, frameworks and know-how, for which you receive a licence to use as embedded in the deliverables.
4. Client responsibilities
You agree to provide timely access, content, approvals and feedback, and to ensure you have the rights to any materials you supply. Delays in your inputs may affect timelines.
5. Acceptable use (portal & hosted services)
You will not misuse our portal or hosted services, attempt unauthorised access, or use the Services to store or transmit unlawful content. We may suspend access for breach, security risk, or non-payment.
6. Service levels
For products we operate under a Run/Care subscription, we provide monitoring, backups and on-call response on a commercially reasonable best-effort basis. Specific service-level commitments, if any, are stated in the SOW. We do not guarantee uninterrupted or error-free operation.
7. Confidentiality
Each party will protect the other's confidential information and use it only for the engagement. Where a separate NDA is signed, it governs in case of conflict.
8. Warranties & disclaimers
We perform the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” and we disclaim all other warranties to the maximum extent permitted by law.
9. Limitation of liability
To the maximum extent permitted by law, Atlee's total liability arising out of an engagement is limited to the fees paid by you for that engagement in the preceding twelve months. We are not liable for indirect, incidental or consequential losses, or loss of profit or data.
10. Term & termination
Either party may terminate an engagement as set out in the SOW or these Terms. On termination, you will pay for Services performed up to the termination date. Recurring subscriptions are cancelled per the Refund & Cancellation Policy.
11. Governing law & jurisdiction
These Terms are governed by the laws of India. The courts at Maharashtra, India shall have jurisdiction, subject to any dispute-resolution clause in the SOW.
